SureID PROGRAM TERMS AND CONDITIONS

These SureID™ Program Terms and Conditions (the “Terms and Conditions”) apply to all Users of and Members of the SureID™ Program.  You accept and agree to these Terms and Conditions, and these Terms and Conditions are legally binding on you, if you (a) register to become a SureID Program Member, (b) use, recognize or rely upon a SureID Program Credential, or (c) use a SureID website, web portal, or software or mobile device application.

We sometimes refer to Users and Members as “you” in these Terms and Conditions.

I. Terms and Conditions—General

  1. Here a few key highlights of these Terms and Conditions:
    1. The SureID Program adds an important layer of security by providing identity verification, background screening, credentialing, and credential validation of trusted individuals.  Security works best if layered.  The SureID Program is not designed to be the only layer of security relied upon by individuals or organizations.  SureID, Inc.’s determination of an individual’s eligibility to receive a SureID Program Credential means that the individual has been found to meet the SureID Program identity verification and background screening specifications but does not guarantee or ensure that the individual is safe, trustworthy or reliable or will not commit a crime or other harmful act. The SureID Program is not a predictor that an individual will or will not engage in misconduct.
    2. The SureID Program is not a pre-employment or employment service. The SureID Program may not be used for any pre-employment or employment-related purpose.
    3. SureID Program Credentials are intended to be used – and may be relied upon – only if electronically validated.  Users must validate the credential against the SureID Program active Credential database, by scanning/submitting the credential information via the SureID Program Smartphone App or other Online Verification Tool that shows whether the credential  is “active” in the SureID Program.  Users may not recognize a SureID Program Credential solely on the basis of a visual inspection.
    4. We take pride in the quality of our service. We also take pride in our collaborative approach to resolving any concerns or disputes at an informal level and, if that is unsuccessful, by binding arbitration.  By having accepted these Terms and Conditions, you are giving up certain legal rights to pursue legal claims against SureID, Inc.  This includes your waiver of the right to join a class action lawsuit against SureID, Inc. and your waiver of the right to sue SureID, Inc. in court.
  2. SureID, Inc. (“we”) may modify these Terms and Conditions, in whole or in part, at any time in our discretion.  Such modifications will be effective 10 (ten) days after the Terms and Conditions are posted on the SureID website at www.sureid.com.  Your continued use of the SureID Program after the modified Terms and Conditions become effective will constitute your acceptance of the modified Terms and Conditions.
  3. Definitions.
    1. Affiliate Code.  A code that an individual enters at registration.  The code lets the SureID Program know whether the individual seeks to become an Unaffiliated Member or a Member affiliated to a specific Sponsoring Organization.
    2. Credential.  A tamper-resistant smart card issued to Members, the size of a common identification badge that displays the Member’s name, photograph, and a QR barcode.
    3. Member.  An individual who has registered for the SureID Program, has passed all SureID Program background screenings, and possess an active Credential.
    4. Online Verification Tool.  A web-based application that allows a User to check a SureID Program Credential’s active status by entering the Credential’s unique identification number located on the back of the Credential.  The Online Verification Tool is available at www.sureid.com.
    5. Onsite Registration Event (“OSR”).  An event where SureID, Inc. employees or agents bring electronic registration equipment to a Sponsoring Organization site or other site in order to provide onsite SureID Program registrations.
    6. Smartphone App.  A smartphone application that allows User to check a Credential’s active status by scanning the QR barcode on the SureID Program Credential.
    7. Sponsoring Organization.  A User organization that confirms individuals to be affiliated to it as Members in the SureID Program.
    8. SureID Program.  The SureID™ Program is a federated trust network of (a) Members (e.g., volunteers, independent contractors, and third-party vendors) as to whom SureID, Inc. provides identity verification, background screening, credentialing, and credential validation, and (b) Users.
    9. Unaffiliated Member.A Member who does not register under the affiliation of a Sponsoring Organization.
    10. User.  An entity or individual that recognizes and accepts the SureID Program Credential.
  4. SureID Program Registration Process and Background Screenings. To start the registration process, an individual must enter an Affiliate Code.  If the individual seeks to register through a Sponsoring Organization, the individual must enter the Affiliate Code for that Sponsoring Organization.  (The SureID Program will follow up with the Sponsoring Organization to confirm sponsorship of the individual.)  An individual who registers as an Unaffiliated Member will enter a separate Affiliate Code.  The individual then will submit biographic and biometric information and a form of payment.  The individual will undergo identity proofing and may be required to present official Government identity documents. The next step is an initial background screening, performed by our third-party background screening provider. If the individual passes the initial background screening, throughout an individual’s membership in the SureID Program SureID, Inc.’s third-party background screening provider conducts ongoing screening of a Member’s criminal history.  If the initial background screening or ongoing screening reveals disqualifying criminal history or other information, the individual will not be eligible to participate in the SureID Program.  Additional terms regarding the SureID Program background screening process are set forth in Section II.G below.
  5. Public Records.  The SureID Program background screenings involve public record searches.  Not all public records are up-to-date, complete, accurate, or available.  The accuracy and completeness of SureID Program background screening results are subject to the reliability of available public records that are searched.
  6. SureID, Inc.’s Use of SureID Program Background Screenings. SureID, Inc. uses SureID Program background screenings to determine an individual’s eligibility to participate in the SureID Program.  SureID, Inc. does not use SureID Program background screenings to determine, decide or make recommendations regarding an individual’s suitability for employment.
  7. SureID Program Credentials Production and Issuance.  Once SureID, Inc. determines that an individual is eligible to receive a SureID Program Credential, SureID, Inc. will produce a SureID Program Credential for the individual.  The Credential will be sent via U.S. mail to the address the individual entered during registration.
  8. Termination. SureID, Inc. may immediately terminate a Member’s or User’s participation in the SureID Program if the Member or User violates these Terms and Conditions.
  9. Title in All Property. SureID, Inc. shall retain all rights, title and interest in all software, hardware, and Credentials it furnishes in connection with the SureID Program.
  10. Intellectual Property. SureID, Inc. reserves all rights, title and interest in and to its SureID Program, including all Intellectual Property Rights.  No Intellectual Property Rights are granted to you under these Terms and Conditions except as may be expressly set forth herein.  For purposes of this section, Intellectual Property Rights means any and all rights existing under patent law, copyright law, moral rights law, trade secret law, trademark law, unfair competition law, publicity rights law, privacy rights law, and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and in effect worldwide.  You acknowledge that the sources and types of information and methodologies used by SureID, Inc. and/or its third-party providers in connection with the SureID Program constitute a trade secret or other intellectual property of SureID, Inc. and/or its third-party providers and are subject to all Intellectual Property Rights of SureID, Inc. and/or its third-party providers.
  11. Software License and Restrictions on Use. Software furnished for use by SureID, Inc. in connection with the SureID Program, including but not limited to the Smartphone App, is owned by SureID, Inc.  and is protected by U.S. intellectual property laws.  SureID, Inc.  hereby grants to you and you accept a non-exclusive, revocable, non-transferable, non-sub licensable, non-assignable license to use SureID, Inc.’s proprietary software subject to these Terms and Conditions.  This license applies to any software updates and upgrades, which SureID, Inc., at its discretion, may provide to you.  This license is limited to your use of the software solely in connection with the SureID Program and for the purposes described in these Terms and Conditions.  You may not copy, publish, distribute, reverse engineer, decompile, disassemble, modify, or create derivative works based upon the software.
  12. Data. SureID, Inc. owns all rights, title and interest in all individual data and other SureID Program data, whether in single or aggregate/report form, collected or created by SureID, Inc.  will use individual data only in connection with the SureID Program, except to the extent necessary to comply with legal requirements or except as agreed to by the individual to whom such data pertains. SureID, Inc. exercises commercially reasonable efforts, in accordance with applicable privacy and information assurance standards, to safeguard individual data from intrusion, loss or compromise.
  13. Limited Warranty. SureID, Inc. will provide SureID Program services in a good and workmanlike manner.  All furnished software and credentials shall be free of material defects under normal and intended use and service.  EXCEPT AS EXPRESSLY STATED HEREIN, SUREID, INC. MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND SUREID, INC. SPECIFICALLY DISCLAIMS THE WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, TITLE, QUIET ENJOYMENT, OR THAT THE SureID PROGRAM WILL BE ERROR FREE OR COMPLETELY SECURE.  FURTHER, SUREID, INC. DOES NOT WARRANT THE CORRECTNESS, COMPLETENESS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF INFORMATION USED BY SUREID, INC. OR ITS THIRD-PARTY PROVIDERS IN CONNECTION WITH THE SureID PROGRAM.  Due to the nature of public record information, the public records and commercially available data sources used in connection with the SureID Program may not always be complete or accurate.  Source data is sometimes reported or entered inaccurately or processed poorly or incorrectly by sources or repositories and may not be free from defect.
  14. Use of the SureID Program. Users may validate and recognize active SureID Program credentials solely for the purposes described in these Terms and Conditions.  You hereby agree and certify that you will not use the SureID Program for any unlawful or unauthorized purposes and will comply with all applicable laws and regulations.  Neither SureID, Inc. nor its related companies, officers, directors, employees, agents, contractors, third-party suppliers (including SureID, Inc.’s background screening providers), assigns, successors, representatives, and other affiliates shall be deemed to be your representative or agent, and they shall have no responsibility or liability for your use of the SureID Program. Without limiting the foregoing, you hereby acknowledge and agree that (a) the SureID Program is not designed to be used for pre-employment or employment purposes, and you will not use SureID Program, including SureID Program background screenings, for pre-employment or employment related purposes, and (b) SureID, Inc., by credentialing an individual in the SureID Program, is not recommending nor is it qualifying or disqualifying such individual for eligibility for employment.  you may not recognize a SureID program Credential ON the basis of only A visual inspection.  YOU MUST validate the credential against the SureID active credential database by scanning/submitting the credential information via the SureID program smartphone app or online verification tool.
  15. Disclaimer and Limitation of Liability.
    1. SureID, Inc.’s determination of an individual’s eligibility to receive a SureID Program Credential means that the individual has been found to meet the SureID Program identity verification and background screening specifications but does not guarantee or ensure that the individual is safe, trustworthy, or reliable or will not commit a crime or other harmful act. The SureID Program is not a predictor that an individual will or will not engage in misconduct or unlawful behavior.
    2. Your use of the SureID Program is your sole responsibility and SureID, Inc. disclaims all responsibility and liability therefor except as expressly stated herein.  Further, SureID, Inc. shall not be liable for any losses or damages arising from the actions or conduct of any individual whom SureID, Inc. credentials through the SureID Program.  Further, SureID, Inc. shall not be liable for any indirect, consequential, or incidental damages or damages for loss of profits, business interruption, loss of information, or other pecuniary loss arising out of or in connection with these Terms and Conditions, the SureID Program, or your use of the SureID Program, including SureID Program Credentials, even if SureID, Inc. has been advised of the possibility of such damage.  SureID, Inc.’s total maximum liability to you, regardless of the cause of the costs, loss, or injury, and regardless of the nature of the legal or equitable right claimed to have been violated, shall never exceed $1,000 (one thousand dollars) in the aggregate, and you covenant and promise that you will not seek, assert, or make a claim against SureID, Inc. for an amount greater than such sum even if SureID, Inc. was advised of the possibility of such damages.
    3. You acknowledge that SureID, Inc. additionally has no responsibility or liability for any losses or damages arising from or otherwise relating to an individual’s use of a SureID Program Credential, whether such use is in connection with you or with any other persons or entities.
  16. Indemnification. You shall protect, defend, indemnify and hold harmless, SureID, Inc. (including, but not limited to, any of its related companies, officers, directors, employees, agents, contractors, third-party suppliers (including SureID, Inc.’s background screening providers), assigns, successors, representatives, and other  affiliates (collectively “SureID, Inc. Parties”)), of and from any and all damages, losses, liabilities, taxes, assessments, fines, penalties, judgments, awards, costs and expenses, including but not limited to reasonable attorneys’ fees (collectively “Losses”) arising out of any claim, allegation, action, suit, proceeding, demand or dispute (collectively “Dispute”) brought by any third party relating in any way to your use of the SureID Program or your violation of these Terms and Conditions.
  17. Governing Law; Arbitration; Jurisdiction.
    1. PLEASE READ THIS SECTION CAREFULLY.  IT AFFECTS YOUR LEGAL RIGHTS CONCERNING ANY DISPUTES, CLAIMS OR CONTROVERSIES (COLLECTIVELY “DISPUTES”) BETWEEN YOU AND THE SUREID, INC. PARTIES.  YOU UNDERSTAND AND ACKNOWLEDGE THAT, BY AGREEING BELOW TO BINDING ARBITRATION, YOU ARE GIVING UP THE RIGHT TO LITIGATE (PARTICIPATE IN A LAWSUIT AS A PARTY OR CLASS MEMBER) ALL DISPUTES IN COURT BEFORE A JUDGE OR JURY.  INSTEAD, YOU UNDERSTAND AND AGREE THAT ALL DISPUTES WILL BE RESOLVED BEFORE A SINGLE ARBITRATOR, WHOSE AWARD (DECISION) WILL BE BINDING AND FINAL, EXCEPT FOR A LIMITED RIGHT OF APPEAL UNDER THE FEDERAL ARBITRATION ACT.  ANY COURT WITH JURISDICTION OVER THE PARTIES MAY ENFORCE THE ARBITRATOR'S AWARD.
    2. These Terms and Conditions shall be governed by, and construed and enforced in accordance with, the internal laws of the State of Oregon applicable to contracts made and to be wholly performed within Oregon by persons domiciled in Oregon, without reference to Oregon conflicts of law provisions.  With respect to the breach or interpretation of these Terms and Conditions or the enforcement of any and all rights, duties, liabilities, obligations, powers and other relations between the parties arising under these Terms and Conditions, or concerning any matters arising from or relating to the SureID Program, the parties agree that their sole legal remedy, shall be to refer such matters to binding arbitration before a single arbitrator pursuant to the rules of the American Arbitration Association or such other arbitration rules as the parties mutually agree to in writing.  The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of these Terms and Conditions, and any matters arising from or relating to the SureID Program, including, but not limited to, any claim that all or any part of these Terms and Conditions is void or voidable. Unless otherwise required by applicable law, each party shall bear its own attorneys’ fees without regard to which party is deemed to be the prevailing party in the arbitration proceeding.  The arbitrator shall otherwise be authorized to award either party any remedy permitted by applicable law. All arbitration proceedings arising hereunder, and any judicial actions brought to enforce an arbitrator’s award or otherwise arising from or relating to these Terms and Conditions, must be brought and maintained in Washington County or Multnomah County, Oregon, and you agree to submit to the exclusive jurisdiction and venue of the state and federal courts sitting in Washington County or Multnomah County, Oregon therefor.
  18. Time to Notify SureID, Inc. of Dispute. You agree that, if you have a Dispute with any SureID, Inc. Party arising from or relating to the SureID Program or these Terms and Conditions, you must notify SureID, Inc. in writing within six (6) months of the event, act or omission giving rise to the Dispute.  You agree that you will be barred from initiating or maintaining any arbitration or legal proceeding against any of the SureID, Inc. Parties if this notification requirement is not met.
  19. Class Action Waiver. ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION OR AS A NAMED OR UNNAMED MEMBER IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION, UNLESS BOTH YOU AND SUREID, INC. SPECIFICALLY AGREE IN WRITING TO DO SO FOLLOWING INITIATION OF THE DISPUTE RESOLUTION PROCEEDINGS.
  20. Severability. If any provision of these Terms and Conditions is held to be invalid or unenforceable to any extent, the Terms and Conditions will be enforced to the maximum extent permissible, and the legality and enforceability of the other provisions of these Terms and Conditions will not be affected.
  21. Force Majeure. SureID, Inc. will be excused from performance for any period during which it is prevented from performing any obligation or service, in whole or in part, due to unforeseen circumstances or to causes beyond its reasonable control including but not limited to acts of war, strike, riot, floods, earthquakes, fires, explosions, telecommunication or Internet outages, cybersecurity incidents, power outages, failure of any transportation or communication system, acts or omissions of suppliers or other causes, any irregularity in the announcing, posting, accuracy or completeness of information reported by any court or government agency in connection with information searched as part of background screenings, labor disputes, crimes, acts of God, Government action, acts of terrorism, or shortages of resources.
  22. Assignments.  You may not assign any rights or obligations arising under these Terms and Conditions without the prior written consent of SureID, Inc.
  23. Third Party Beneficiaries. Except with respect to those who are identified herein as SureID, Inc. Parties, nothing in these Terms and Conditions, express or implied, is intended to or shall confer upon any other person any right, benefit or remedy of any nature whatsoever in connection with these Terms and Conditions.
  24. Use of Third Parties. SureID, Inc. may engage third-party providers to assist in SureID, Inc.’s provision of SureID Program services.
  25. Survival of Terms. Any term in these Terms and Conditions that should be reasonably expected to survive the termination of your use of the SureID Program or participation in the SureID Program will survive, including, but not limited to, restrictions on use of intellectual property, indemnity obligations, limitations on liability and disclaimers of warranties and damages, governing law, binding arbitration, waiver of class action, and your payment obligations accrued prior to termination or expiration.
  26. Headings. Headings in these Terms and Conditions are for convenience of reference only and shall not be interpreted to limit or otherwise affect the provisions of these Terms and Conditions.
  27. Entire Agreement. These Terms and Conditions constitute the entire agreement between the parties with respect to the subject matters herein and merges all prior and contemporaneous communications and proposals, whether electronic, oral or written, between the parties with respect to such subject matters.

II. ADDITIONAL Terms and Conditions—INDIVIDUALS

  1. These Additional Terms and Conditions—Individuals, in addition to the Terms and Conditions—General above, apply to all individuals who register to become Members and/or who actually become Members of the SureID Program.
  2. SureID Program Membership Term
    1. Your SureID Program membership begins on the date your Credential is activated and continues for one year, unless earlier terminated or cancelled in accordance with these Terms and Conditions.
    2. We may cancel your SureID Program membership (a) if you breach these Terms and Conditions (b) in order to comply with applicable laws or regulations, or (c) if you fail to meet the SureID Program membership eligibility criteria. We will notify you if your SureID Program membership is cancelled.
  3. SureID Program Membership Fee. There is a standard annual Member fee.  Refunds are not available once the initial SureID Program background screening has commenced.
  4. SureID Program Credentials
    1. The SureID Program Credential is the size of a common identification badge and displays your photo, name, and a QR barcode.   The credential is “active” while you are an active member of the SureID Program.  The credential is “inactive” upon termination or cancellation of your membership in the SureID Program.
    2. You acknowledge and agree that SureID, Inc. owns all rights, title and interest in the SureID Program Credential.
    3. You may wear your active SureID Program Credential, and you may present your active SureID Program Credential to Users for electronic authentication.
    4. SureID, Inc. retains the right to cancel your SureID Program Credential and/or SureID Program membership if SureID, Inc. suspects or has knowledge that you have used the SureID Program Credential for an unauthorized purpose, that you have provided inaccurate information to SureID, Inc., or that your SureID Program Credential was obtained through fraudulent means.
    5. You hereby agree, represent, and warrant that:
      1. All information you have provided and in the future will provide in connection with your registration for and membership in the SureID Program is true, complete, and correct;
      2. You will use the SureID Program Credential solely for authorized and lawful  purposes and in an authorized and lawful manner;
      3. You will immediately notify SureID, Inc. upon loss or suspicion of loss or compromise (including but not limited to suspected or known unauthorized use, theft or misplacement) of your SureID Program Credential;
      4. You will prevent your SureID Program Credential from being used or possessed by any other party;
      5. You will not alter, deface, tamper with, modify or reproduce your SureID Program Credential; and
      6. If you become inactive in the SureID Program, you will immediately discontinue wearing, presenting, or in any other way using your SureID Program Credential, and you will immediately return your SureID Program Credential to SureID, Inc.
  5. Notifications, Communications
    1. We may communicate with you, including notifying you of updates related to your membership status, through the email address or the U.S. mail address you provide at the time of registration.  Please note that we may include sensitive personal information in these communications. You must promptly notify us of any changes to your email and mailing address.  All communications directed to your email address are effective when sent. All communications directed to your U.S. mailing address are effective three days after being sent.
    2. To send notifications and other communications to SureID, Inc., you may call our Customer Support at 844-SUREID1 (844-787-3431), send an email to support@sureid.com, or send a mailing to us through U.S. mail at SureID, Inc., 5800 NW Pinefarm Place, Hillsboro, OR 97124.  All notifications and other communications directed to us are effective upon receipt.
  6. Privacy Policy.  We and our third-party providers are committed to protecting the privacy of your personally identifiable information (“PII”) in connection with the Program.  The following is a description of our Privacy Policy for the SureID Program. This policy aligns with the Fair Information Practice Principles and addresses the information we collect on you, and our use and protection of that information.  We may update this Privacy Policy from time to time. We will notify you about material changes to this Privacy Policy as described in Section I.B above.
    1. Transparency. We provide transparency and notice to you about our collection of PII on you in connection with the SureID Program, by obtaining your individual consent through these Terms and Conditions for the collection, use, dissemination and maintenance of your PII, and by posting information to our website at www.sureid.com.
    2. Individual Participation. Through these Terms and Conditions, we inform you, and obtain your consent, for our collection, use, dissemination, and maintenance of your PII in connection with the SureID Program.
    3. Purpose of Collection and Use of Your Information.  We collect and use your PII for the purpose of processing your registration in the SureID Program, including performing background screenings of you; to issue you a SureID Program Credential if you meet the SureID Program eligibility requirements; to administer your membership in the SureID Program; for Sure ID Program maintenance and quality control; and for other SureID Program-related purposes.
    4. Data Minimization; Collection of Your Information. We may collect any or all of the following information from you at the time of or after your registration in the SureID Program:  your full legal name; residence address; email address; date of birth; gender; citizenship status; previous addresses; driver’s license number; city, state and country of birth; Social Security Number; billing credit card number, expiration date, and billing address; fingerprints; photograph; and identity documents. We may collect identity authentication and background screening information on you including from our third-party providers.
    5. Use of Your Information. We may use your PII to conduct one or more SureID Program background screenings of you; verify your identity; manage and administer the SureID Program and your membership in it; respond to your inquiries and requests in connection with the SureID Program; send you notifications and other communications about the Program, such as changes to terms, conditions, and policies and other administrative information; send you SureID Program-related marketing information; test Credential features; manage risk control, fraud detection and prevention; comply with applicable laws and regulations; perform SureID Program maintenance and quality control; and comply with other government requests, legal process and law enforcement requirements. Your PII also may be used by third-party providers we engage for SureID Program background screenings, to support other SureID Program functions, and to offer other SureID Program-related products or services. Our third-party providers are subject to obligations of confidentiality and privacy.
    6. Data Quality and Integrity. It is your responsibility to provide us with accurate and complete information about yourself.  To the extent practicable, we ensure that the PII we collect from you is accurate, relevant, timely, and complete.  You must promptly notify us of any changes to your information you provide to us.
    7. Disclosure of Your Information. We may share your PII with third-party providers we engage to support Program functions or with whom we may jointly offer SureID Program-related products or services.  We will share certain of your PII (e.g., photo, name, active/inactive status) with Users who utilize the SureID Program Smartphone App or SureID Online Verification Tool to verify your active status in the SureID Program.  We also may share your PII in response to subpoenas, court orders, or other legal process; to establish or exercise our legal rights; to defend against legal claims; or as otherwise necessary due to legal requirements.  We may seek your advance consent for other disclosures of your PII.  We also may share aggregate or anonymized SureID Program information with third parties, Government agencies, advertisers and investors.
    8. Security and Protection of Your Information. We are committed to safeguarding the security, confidentiality and integrity of your PII.  We employ physical, technical, and administrative safeguards against risks such as loss, unauthorized access or use, destruction, modification, or unintended or inappropriate disclosure. We will retain your PII for a commercially reasonable period after termination or cancellation of your SureID Program membership.
    9. Accountability and Auditing. We provide relevant training to our personnel who use individual information in connection with the SureID Program, and we audit our use of individual information consistent with this Privacy Policy.
  7. Program Background Screenings—Additional Terms
    1. The SureID Program background screenings may include (a) identity verification, and (b) searches of public or other commercially available data, including criminal history records maintained by state and federal courts, law enforcement, other governmental sources, and other sources of information and records.  Such records are not always kept up-to-date, complete or accurate by the records custodians, and neither our third-party providers nor we can guarantee the completeness or accuracy of the data obtained from these external sources.  We provide a redress process, discussed below, which enables you to seek correction of erroneous or incomplete information from the background screening process.
    2. If a Member of the SureID Program becomes ineligible for the SureID Program because of a change in criminal history discovered during the SureID Program’s ongoing criminal history screening, that person’s Credential will be switched to “inactive” status and notification of this “inactive” status will appear when the Credential is scanned using the Smartphone App or checked using the Online Verification Tool.
    3. If, on the basis of the SureID Program background screening results, you do not meet the SureID Program eligibility requirements, you will be so notified in writing and will receive a copy of your background screening report.   If you disagree with the completeness or accuracy of the information in the report (for example, if you are a victim of identity theft), you may submit your corrections or additional information and request a reinvestigation. You will be provided with a written report of the results of the reinvestigation including whether the reinvestigation resulted in a change to your SureID Program eligibility.  If you do not timely dispute the background screening results, or if you do so but the reinvestigation does not result in a change to your SureID Program eligibility, you will not qualify for SureID Program membership.

III. ADDITIONAL Terms and Conditions—Sponsoring Organizations

  1. These Additional Terms and ConditionsSponsoring Organizations, in addition to the General Terms and Conditions above, apply to all Sponsoring Organizations.
  2. Sponsoring Organization Agreement.  To become a Sponsoring Organization, an entity needs to sign a Sponsoring Organization Agreement.
  3. Cost to become a Sponsoring Organization.  There is no cost to become a Sponsoring Organization.  However, there may be costs for the Onsite Registration Events required to register the individuals that the Sponsoring Organization wants affiliated to it in the SureID Program.  These costs, if any, will be set forth in the Sponsoring Organization Agreement.
  4. Responsibilities of a Sponsoring Organization. The responsibilities of a Sponsoring Organization include:
    1. Ordering an appropriate number of Onsite Registration Events in order to register the individuals that it desires to be affiliated to it in the SureID Program (subject to applicable fees);
    2. Cooperating with SureID, Inc. in scheduling and implementing the Onsite Registration Events;
    3. Communicating with the individuals it wants affiliated to it in the SureID Program regarding the SureID Program and the Onsite Registration Events;
    4. Providing an appropriate venue for Onsite Registration Events;
    5. Providing to SureID, Inc. a list of individuals whom it would like affiliated to it in the SureID Program; and
    6. Providing such individuals with the Sponsoring Organization’s Affiliate Code assigned to it by SureID, Inc.
  5. Responsibilities of SureID, Inc. SureID, Inc.’s responsibilities to a Sponsoring Organization, in addition to those already set forth in these Terms and Conditions, consist of:
    1. Providing the Onsite Registration Events that the Sponsoring Organization orders (subject to applicable fees);
    2. Assisting with Sponsoring Organization communications to individuals by providing appropriate templates and/or marketing collateral;
    3. Confirming that individuals who have entered the Sponsoring Organization’s Affiliate Code at registration are on the Sponsoring Organization’s list provided to SureID, Inc.; and
    4. Providing monthly reports related to SureID Program Members who are affiliated to the Sponsoring Organization.
  6. Additional Terms. 
    1. Sponsoring Organizations do not receive copies of the SureID Program background screening reports of those individuals with whom they are affiliated.
    2. SureID Program Credentials issued to Members affiliated to the Sponsoring Organization will not be branded with the Sponsoring Organization logo or contain any mark indicating that the Member is affiliated to the Sponsoring Organization.
    3. Members may present their SureID Program Credential to any User for scanning and recognition and not only to the Sponsoring Organization.
